The daily responsibilities associated with company secretarial duties will fall under the purview of the Assistant Company Secretary. This include drafting minutes, planning and setting up board and committee meetings, creating and filing legal papers, keeping track of statutory registers, and assisting the company secretarial staff with administrative tasks.
• Prepare agendas and papers for board meetings, committees, and annual general meetings (AGMs). • Take minutes and follow up on action points. • Draft resolutions and lodge required forms and annual returns with Companies House. • Ensure policies are kept up to date and approved by the committee. • Maintain statutory books, including registers of members, directors, and secretaries. • Monitor changes in relevant legislation and the regulatory environment. • Liaise with external regulators and advisers, such as lawyers and auditors. • Develop and oversee compliance systems to ensure adherence to applicable codes. • Oversee PR relating to aspects of financial management.
• Outstanding time-management and organizing abilities • Strong focus on accuracy and detail • Strong interpersonal and communication abilities • Capacity to operate both individually and collaboratively Understanding corporate governance and secretarial practices of the business • Familiarity with the Microsoft Office Suite • A bachelor's degree in business administration, law, or a similar discipline is required. Experience as a corporate secretary is advantageous.
